Terms of Use

Welcome to the Washington State Mentor Partnership ("WSMP") website. This website (the "Site") may be used by individuals who wish to become mentors, and by mentoring organizations who wish to find mentors. By using the Site, you agree to be bound by these Terms of Use, whether or not you register as an organizational member ("Member"). The Site may be modified by WSMP from time to time, and such modifications shall become effective when they are posted to the Site by WSMP. These Terms of Use and WSMP’s Privacy Policy (collectively, the "Agreement") set out the legally binding terms of your use of the Site. References to "you" in these Terms of Use include individual users of the Site and/or Members unless otherwise stated.

1.Becoming an Organizational Member.
If you are an organization and wish to become a Member, please read these Terms of Use and indicate your acceptance by clicking the "I ACCEPT" button below. If you do not agree to these Terms of Use, click the "I DO NOT ACCEPT" button. If you click the "I DO NOT ACCEPT" button, you will not become a Member and will not be eligible for the mentor referral services offered by WSMP (the "Services"). For Members, in addition to these Terms of Use and the WSMP Privacy Policy, the Agreement includes the Membership Agreement between your organization and WSMP, and your organization’s application for membership.
  

2. Term and Termination.
The Agreement will remain in full force and effect while you use the Site and/or are a Member. WSMP may, in its sole discretion, with or without notice, suspend or terminate your use of this Site and the Services, and remove and discard any Content on the Site, for any reason, including, without limitation if you violate these Terms of Use or any other part of the Agreement. WSMP may also bar you from any future access to the Site or Services. WSMP will not be liable to you for any such suspension, termination or prohibition on future access. Should you object to any subsequent modifications of the terms and conditions of these Terms of Use or the Agreement, your sole recourse will be to immediately notify WSMP of your termination of the Agreement, which termination will be effective immediately. To the extent permitted by applicable law, the terms and conditions of these Terms of Use will survive any termination of the Agreement.
  

3. Site Conduct.
When using the Site, you agree to abide by the following rules: (a) you may not post or transmit content (information, data, text, software, graphics, sound, photographs, video, messages, etc.) ("Content") that is unlawful, harassing, libelous, defamatory, obscene, fraudulent, harmful, threatening, abusive, hateful, that violates the property rights of others (including without limitation infringing use of a copyright or trademark), that violates the privacy or publicity right of others, or are otherwise objectionable; (b) you may not interfere with other users' use of the Site; (c) you may not use the Site to conduct any activity that is illegal or that violates the rights of others; (d) you may not use the Site to advertise or sell products or services to others; (e) you may not impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity; (f) you may not post or transmit Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, confidential information, etc.); (g) you may not post Content to the Site unless the Content is freely owned by you or used with the permission of all other persons with any rights in the Content; and (h) you may not use the Site to collect or store personal data about other users.
  

4. Content Posted to Site.
You are solely responsible for the Content that you publish or display on the Site. WSMP does not conduct a prior review of any Content posted by any party other than WSMP and has no responsibility for such Content. However, WSMP reserves the right in its sole discretion to delete any Content submitted to or appearing on the Site. By posting Content to any public area of WSMP, you automatically grant, and you represent and warrant that you have the right to grant, to WSMP an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information.
  

5. Ownership of Content.
WSMP owns and retains all proprietary rights in the Services and the Site, including without limitation the Site organization and layout, and all Content other than Content posted to the Site by Members and/or users. The Site contains the copyrighted material, trademarks, and other proprietary information of WSMP, and its licensors. Except for that information which is in the public domain or for which you have been given written permission, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.
  

6. Inaccurate Content.
WSMP is not responsible for any incorrect or inaccurate Content posted on the Site or in connection with the Services, whether caused by users of the Site, Members or by any of the equipment or programming associated with or utilized in the Services. While WSMP will attempt to keep the Site current, accurate, and complete, WSMP and its suppliers cannot guarantee, and will not be responsible for any damage or loss related to, the timeliness, accuracy, or completeness of the Content, information, Services, or other material on the Site.
  

7. Use of Site; Interaction of Members, Users and Third Parties.
Under no circumstances will WSMP be responsible for any loss or damage resulting from anyone's use of the Site or the Services, any Content posted on the Site or transmitted to users or Members, or any consequence relating directly or indirectly to any action or inaction you take based on the information, Services or other material on the Site. WSMP assumes no responsibility, and shall have no liability for any communications or other interactions between Members, users, individuals or organizations receiving services from Members, or any other third party, including without limitation mentors referred to Members by WSMP. WSMP is not responsible, and shall in no way be liable for the conduct, whether online or otherwise, of any user of the Site or Member.
  

8. Disclaimer of Warranties.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE SERVICES, THIS SITE, AND ALL INFORMATION AND CONTENT ON THE SITE, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WSMP AND ITS INFORMATION SUPPLIERS DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES WITH REGARD TO THE SITE AND ALL INFORMATION, SERVICES, AND MATERIALS CONTAINED ON THE SITE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WSMP MAKES NO WARRANTY THAT: (a) THE SITE OR SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THE RESULTS THAT MAY BE OBTAINED FROM THE SITE OR SERVICES WILL BE SATISFACTORY; (b) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (c) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITE WILL MEET YOUR EXPECTATIONS, AND; (d) ANY ERRORS IN THE SITE WILL BE CORRECTED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM WSMP OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS.
  

9. Limitation of Liability.
EXCEPT IN JURISDICTIONS WHERE SUCH PROVISIONS ARE RESTRICTED, IN NO EVENT WILL WSMP BE LIABLE TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS ARISING FROM YOUR USE OF THE SITE OR THE SERVICES, EVEN IF WSMP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN ANY PROVISION(S) OF THE AGREEMENT, WSMP'S TOTAL AGGREGATE LIABILITY FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF ACTION, WILL AT ALL TIMES BE LIMITED TO ONE HUNDRED DOLLARS ($100.00).
 

10. Links.
The Site may provide, or third parties may provide, links to other Internet sites. WSMP has no control over such sites; WSMP does not endorse, and is not responsible for, any such sites or the information, material, products or services contained on or accessible through those sites. You acknowledge that WSMP shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance upon any such information, material, products, or services.
 

11. Indemnification.
You agree to indemnify and hold WSMP, its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the Site or the Service in violation of this Agreement and/or arising from a breach of the terms of this Agreement.
 

12. Modifications to the Site and Services.
WSMP reserves the right to, from time to time, discontinue, temporarily or permanently, the information, Services, and/or other Content on the Site with or without notice.
 

13. Arbitration.
Any controversy or claim arising out of or relating to the Agreement will be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim will be arbitrated on an individual basis, and will not be consolidated in any arbitration with any claim or controversy of any other party. You consent to the arbitration being conducted in Seattle, Washington. Judgment on the arbitration award may be entered in any court having competent jurisdiction. Either you or WSMP may seek any interim or preliminary equitable relief from a court of competent jurisdiction in King County, Washington necessary to protect the rights or property of you or WSMP pending the completion of arbitration.
 

14. Notices.
Any notices to you by WSMP may be made by either e-mail or regular mail.

15. General Provisions.
The terms of the Agreement constitute the entire agreement between you and WSMP and govern your use of the Site, superceding any prior agreements between you and WSMP regarding the Site and the Services (including without limitation any prior versions of these Terms of Use). The Agreement and the resolution of any dispute related to these Terms of Use or the Site shall be governed by and construed in accordance with the laws of the State of Washington, without giving effect to any principles of conflicts of law. WSMP's failure to insist upon strict enforcement of any provision of the Agreement shall not be construed as a waiver of any provision or right. If any provision of the Agreement is held to be invalid or unenforceable, the remaining provisions of the Agreement will be enforced in accordance with its terms. The section headings in these Terms are for convenience only and have no legal or contractual effect. Regardless of any statute or law to the contrary, you hereby waive your right to bring any claim against WSMP more than 1 year after such claim first arose.
